ENTITY OVERVIEW ================================================================================ Daralbeida Maroc SARL is the Moroccan operating entity of the Daralbeida group. It is the entity through which Daralbeida establishes a legal, contractual, and physical presence in Morocco. DARM's core functions are: - Negotiating and signing all purchasing agreements with olive estates and mills under Moroccan law. - Supervising packing operations on site before goods are sealed for export. - Running the full quality control program at source (Gates 0 and 1). - Managing the complete compliance and export documentation chain. - Operating as the registered agricultural aggregator (agrégateur) under Moroccan Law No. 04-12. Without DARM, Daralbeida would be operating in Morocco informally — as a foreign buyer placing orders at arm's length. The SARL gives the brand legal standing in Morocco, protects sourcing relationships through enforceable contracts, and allows Daralbeida to employ or retain local staff and service providers directly. ================================================================================ 3. POSITION IN THE DARALBEIDA STRUCTURE ================================================================================ DARM is one of three legal entities in the Daralbeida group structure: Daralbeida Holdings LLC (Delaware) Parent — IP, brand, investment vehicle ├── Daralbeida Maroc SARL (Casablanca) ← DARM — Moroccan operations └── Daralbeida Brands LLC (California) US operations, sales, imports DARM operates entirely on the Moroccan side of the supply chain. Its handoff point to Daralbeida Brands LLC is FOB Casablanca: goods are delivered to the freight forwarder, certified and export-ready, at that point. Everything before the FOB handoff — producer contracts, quality testing, packing supervision, and export documentation — is DARM's responsibility. DARM does not sell to end consumers, operate any Amazon account, or handle US regulatory obligations. Those functions belong entirely to Daralbeida Brands LLC. SOURCING AND PURCHASING ================================================================================ DARM negotiates and executes all purchasing agreements with suppliers. This includes three categories of agreement: Aggregation contracts: - Formal contracts with olive producers (agrégés) under Law No. 04-12, organized around a certified anchor pressing facility. These contracts carry legal weight under Moroccan agricultural law and form the basis of DARM's aggregator designation. Processing contracts: - Contracts with ONSSA-certified mills for cold extraction and packing. ONSSA agrément status is an eliminatory criterion: any mill without a current, verifiable ONSSA approval number is disqualified at the first stage of supplier evaluation. No exceptions. Packing supervision: - On-site supervision of packing operations to ensure volume, labeling, and physical handling standards are met before goods are sealed and prepared for export. FNSKU labels may be applied at this stage to reduce downstream costs. DARM is the filing entity for all export documentation. It cites the producer's ONSSA registration number and facility agrément in all application dossiers. Producers do not file independently. DARM acts as aggregator-exporter on behalf of its contracted producer network. ================================================================================ 5. QUALITY CONTROL ================================================================================ DARM operates a three-gate quality control system. All three gates must pass before a lot may be marketed under the Daralbeida brand. Gates 0 and 1 occur in Morocco; Gate 2 occurs in the United States. 5.1 GATE 0 — WITNESSED AT-SOURCE READING Gate 0 is a witnessed CDR OxiTester Junior reading conducted by DARM personnel at the producer's mill, on the specific tank designated for the Daralbeida production campaign, before that tank is sealed and transported. Gate 0 closes the chain-of-custody gap between the qualification sample submitted during producer onboarding and the actual production lot. It is a campaign-level control step, not a qualification-phase step. Gate 0 pass and Gate 1 fail is a hard rejection. Both must pass independently. 5.2 GATE 1 — DARM ON-SITE ANALYSIS Gate 1 is run by DARM using the CDR OxiTester Junior after the lot arrives at the packing facility, before sealing for export. Eliminatory thresholds: FFA (free fatty acid): at or below 0.5% Peroxide value: at or below 12 meq O2/kg Polyphenol content: at or above 250 mg/kg Any lot that fails any one of these thresholds is rejected before shipment. There is no waiver mechanism and no secondary review. Rejection is final. 5.3 GATE 2 — US ACCREDITED LABORATORY Gate 2 occurs in the United States. An accredited third-party laboratory (SGS or Bureau Veritas) issues a Certificate of Analysis on each arriving lot. Gate 2 confirms the quality claims made at origin and provides the documentation required for premium marketing assertions. 5.4 SINGLE-ESTATE BOTTLING The aggregation framework governs DARM's sourcing and subsidy infrastructure. It does not determine what is bottled under the Daralbeida brand. Each producer's lot is tracked individually by producer ID, grove, and harvest date through the DAB-LOT record system. Only lots that pass all gates and meet the brand quality and profile criteria are selected for Daralbeida bottling. Remaining volume is sold in bulk or to the local market. The single-estate claim is sustained by lot-level traceability, not by exclusive sourcing from a single producer. ================================================================================ 6. AGGREGATOR DESIGNATION ================================================================================ Daralbeida Maroc SARL holds the formal designation of agrégateur under Moroccan Law No. 04-12 on Agricultural Aggregation. This designation is approved by the Ministry of Agriculture through the relevant DPA or ORMVA. It is not a descriptive label — it is an operational classification with specific legal obligations and government benefits. The aggregator designation provides DARM with: - Access to State subsidies from the Fonds de Développement Agricole (FDA), including a flat-rate Tier A payment of 675 MAD per contracted hectare and a preferential-rate Tier B equipment subsidy. - Zero Moroccan corporate tax on agricultural income below 5,000,000 MAD. - VAT zero-rating on exported EVOO. - A five-year professional tax exemption from commencement of activity. - Facilitated ONSSA access for the anchor processing facility. - Eligibility for Interprolive membership. The aggregator designation is a separate registration from SARL formation and is initiated through the DPA after incorporation. COMPLIANCE AND EXPORT DOCUMENTATION ================================================================================ DARM manages the full export compliance chain on the Moroccan side. No shipment may leave Morocco without the complete documentation package below. Required documents per shipment or lot: - ONSSA agrément verification for each supplier, cross-checked against the official ONSSA approved establishment list. - Phytosanitary certificate, issued by ONSSA per shipment. - ONSSA Certificat Sanitaire à l'Exportation (health certificate): obtained per production lot or campaign. No shipment departs without a valid, unexpired certificate. DARM is the filing entity. - Export license, mandatory for EVOO exports from Morocco since 2023. - VoC (Verification of Conformity) certificate, issued through MCINET. - Foodex / EACCE coordination for export promotion documentation and statistical reporting. - Certificate of Origin from the Moroccan Chamber of Commerce — required by Daralbeida Brands LLC to claim the 0% MAFTA preferential tariff rate on the US customs entry. - Douane (Moroccan Customs) clearance coordination. DARM is the filing entity across all of the above. FORMATION AND REGISTRATION ================================================================================ 8.1 SARL FORMATION A SARL (Société à Responsabilité Limitée) is the standard Moroccan limited liability company structure, equivalent to an LLC. Formation requires engagement of a Moroccan corporate attorney based in Casablanca. Typical formation timeline is four to eight weeks. Ownership of the SARL should be structured through Daralbeida Holdings LLC, or alternatively held directly by the founder, depending on advice from the Moroccan attorney regarding foreign-ownership rules and tax treatment. DARM must be formed before any purchasing agreements are signed with Moroccan suppliers, so contracts are executed by the correct legal entity. 8.2 AGGREGATOR REGISTRATION Registration as an agricultural aggregator under Law No. 04-12 is a separate step from SARL formation. It is initiated through the relevant DPA after the SARL is incorporated and the aggregation project dossier is prepared. SARL formation and aggregator registration can proceed in parallel once the aggregation project design is finalized.
